These Terms and Conditions (the "Terms") govern your access to and use of the websites, online properties, and related services operated by MannyVerse Holdings LLC ("MannyVerse," "we," "us," or "our"), including without limitation mannyverse.com and any associated pages, forms, or digital experiences (collectively, the "Site"). By accessing, browsing, or using the Site, or by submitting any information or materials to us through the Site or by other electronic means referencing these Terms, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Site or submit any information, content, or materials to MannyVerse. We recommend that you read these Terms carefully in full before using the Site.

1. Introduction

MannyVerse Holdings LLC is a media and intellectual property holding company that develops, produces, licenses, and commercializes creative works, including without limitation books, characters, stories, artwork, merchandise, and multimedia projects (collectively, the "MannyVerse Properties"). These Terms constitute a legally binding agreement between you and MannyVerse regarding your use of the Site and any information, content, or materials you choose to submit to us via the Site or through mechanisms that reference these Terms.

By accessing or using the Site, or by submitting any information or materials to MannyVerse, you represent and warrant that you are of legal age in your jurisdiction and that you have read, understood, and agree to be bound by these Terms. If you are using the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" and "your" will also refer to that organization.

2. Intellectual Property

Unless otherwise expressly stated in writing by MannyVerse, all content and materials on or connected to the Site and the MannyVerse Properties are owned by or licensed to MannyVerse Holdings LLC and are protected by copyright, trademark, trade dress, and other intellectual property laws of the United States and other jurisdictions. Such content and materials include, without limitation:

  • Characters, character names, likenesses, backstories, and worlds
  • Stories, narratives, scripts, and written materials
  • Logos, trademarks, trade names, and brand identifiers associated with MannyVerse
  • Art, illustrations, designs, audio-visual content, and multimedia works
  • Website design, page layouts, interfaces, and graphics
  • Text, copy, and other editorial content made available on or through the Site

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any MannyVerse Properties or Site content, in whole or in part, except as expressly permitted by these Terms or by our prior written consent. Nothing in these Terms grants you any rights, title, or interest in or to any MannyVerse intellectual property except for the limited, revocable rights expressly set forth herein.

3. No Unsolicited Submissions

MannyVerse Holdings LLC and its affiliates, employees, officers, directors, contractors, and representatives (collectively, the "MannyVerse Parties") do not accept, review, or consider unsolicited ideas, proposals, concepts, scripts, manuscripts, storylines, characters, artwork, designs, music, treatments, formats, pitches, or other creative materials of any kind (collectively, "Unsolicited Materials"). Please do not send any Unsolicited Materials to MannyVerse or any MannyVerse Party in any form or by any means, including but not limited to email, mail, submission forms, social media, or in person.

Notwithstanding the foregoing, if you nevertheless submit or transmit any Unsolicited Materials to MannyVerse, you acknowledge and agree that:

  • Such Unsolicited Materials will be deemed to be non-confidential and non-proprietary, regardless of any legends or statements to the contrary included therein or in any accompanying correspondence.
  • You grant to MannyVerse a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit such Unsolicited Materials, in whole or in part, in any form, media, or technology now known or hereafter developed, without any obligation to you or any third party.
  • MannyVerse has no obligation to review, acknowledge, respond to, return, or keep confidential any Unsolicited Materials.
  • MannyVerse may already be developing, or may in the future develop, content, projects, or materials that are identical or similar to the Unsolicited Materials, and you will have no rights with respect to such content, projects, or materials.

You further acknowledge and agree that MannyVerse has no obligation to compensate you or provide you with credit, attribution, or any other consideration in connection with any use of the Unsolicited Materials, and you hereby irrevocably waive any claims arising out of or relating to any alleged or actual use or exploitation of the Unsolicited Materials by MannyVerse.

4. Voluntary Submissions and Idea Overlap

From time to time, MannyVerse may provide forms, surveys, or other mechanisms enabling you to submit feedback, testimonials, inquiries, business proposals, or other content (collectively, "Voluntary Submissions"). By submitting any Voluntary Submission to MannyVerse through the Site or otherwise in connection with these Terms, you acknowledge and agree that:

  • MannyVerse may already be independently developing, have previously developed, or may in the future develop ideas, concepts, characters, stories, or projects that are identical or similar to the Voluntary Submission.
  • You will not assert, and you hereby irrevocably waive, any claim that MannyVerse misappropriated, infringed, or otherwise used your ideas, concepts, or materials if MannyVerse’s products, services, or creative works are the same as or similar to any Voluntary Submission, whether now existing or later developed.
  • You grant to MannyVerse a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit the Voluntary Submission in any form and for any lawful purpose, without obligation or compensation to you, unless MannyVerse expressly enters into a separate written agreement with you stating otherwise.
  • You are solely responsible for ensuring that any Voluntary Submission does not include confidential information or materials you are not authorized to share.

You represent and warrant that you have all rights necessary to grant the foregoing license to MannyVerse and that the Voluntary Submission, and our use thereof, will not infringe, misappropriate, or violate the intellectual property, privacy, publicity, or other rights of any third party.

5. User Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree that you will not, and will not permit or encourage any third party to, directly or indirectly:

  • Submit, upload, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or otherwise objectionable.
  • Submit or transmit any content that infringes, misappropriates, or violates any copyright, trademark, trade secret, moral right, right of privacy or publicity, or any other intellectual property or proprietary right of any person or entity.
  • Impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, or misrepresent the origin of any content.
  • Use the Site to transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation.
  • Introduce any viruses, worms, defects, Trojan horses, malware, or other items of a destructive nature, or interfere with, disrupt, or attempt to gain unauthorized access to the Site, servers, networks, or systems connected to the Site.
  • Violate any applicable local, state, national, or international law, regulation, or court order in connection with your use of the Site or any submissions you make.

6. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will the MannyVerse Parties be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including without limitation damages for loss of profits, loss of goodwill, loss of data, business interruption, or other intangible losses, arising out of or in connection with (a) your access to or use of, or inability to access or use, the Site; (b) any conduct or content of any third party on or relating to the Site; (c) any content obtained from the Site; or (d) any unauthorized access, use, or alteration of your submissions or data, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if a MannyVerse Party has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, the total aggregate liability of the MannyVerse Parties for any claim arising out of or relating to these Terms, the Site, or any submissions you make, regardless of the form of the action, is limited to the greater of (i) the amount, if any, you paid to MannyVerse to use the Site giving rise to the claim during the six (6) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US $100).

7. Third-Party Services and Links

The Site may integrate with, rely on, or provide links to third-party websites, services, tools, or platforms, including without limitation hosting providers, analytics services, payment processors, email service providers, social media platforms, and marketing or customer relationship management tools (collectively, "Third-Party Services"). These Third-Party Services are provided for your convenience only. MannyVerse does not control and is not responsible for, and makes no representations or warranties of any kind regarding, any Third-Party Services or their content, products, services, privacy practices, or terms of use.

Your interactions with Third-Party Services are solely between you and the applicable third party and may be governed by separate terms and privacy policies. You agree that MannyVerse will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, products, or services available on or through any Third-Party Services.

8. Changes to These Terms

MannyVerse reserves the right, in its sole discretion, to update, modify, or replace these Terms at any time. When we do so, we will update the "Last Updated" date at the top of this page and may, in our discretion, provide additional notice (such as by posting a prominent notice on the Site or sending you an email). Any changes will be effective immediately upon posting unless a later effective date is specified.

Your continued access to or use of the Site after the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Site.

9. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any submissions you make to MannyVerse (whether sounding in contract, tort, statute, or otherwise) will be governed by and construed in accordance with the laws of the State of Maryland, United States, without giving effect to any choice or conflict of law provision or rule that would cause the laws of any other jurisdiction to apply.

You agree that the state and federal courts located in the State of Maryland will have exclusive jurisdiction over any litigation or proceedings arising out of or relating to these Terms or the Site, and you hereby irrevocably submit to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of jurisdiction.
